What is Locked box mechanism?

A price mechanism in which the purchase price is fixed on the basis of financial statements at a date before closing, and leakage of value after that date is prohibited.

Between the locked box date and closing, no non-permitted payments (leakage) such as dividends or management fees may be made to the seller. As there is no post-closing price adjustment, the process is simpler; however, the reliability of the locked box balance sheet is critical.
