What is Letter of intent (LOI)?

A preliminary, generally non-binding document in mergers and acquisitions showing that the parties have agreed the main commercial terms (price, structure, timetable, exclusivity).

Certain provisions such as confidentiality and exclusivity may be made binding. Due diligence follows the letter of intent and the share purchase agreement is then negotiated.
